Jakarta, INTI - PT Multimedia Nusantara (TelkomMetra), a subsidiary of PT Telkom Indonesia, has signed a Conditional Sale and Purchase Agreement (CSPA) for the full divestment of PT Administrasi Medika (AdMedika), including its subsidiary TelkoMedika, to the Fullerton Health group.
Strategic Move to Strengthen TelkomGroup’s Core Business
The move aligns with the state-owned enterprise streamlining initiative mandated by Danantara and supports the transformation agenda of TelkomGroup under the TLKM 30 strategy. This portfolio restructuring aims to strengthen TelkomGroup’s core focus on telecommunications and digital services while opening broader opportunities for AdMedika Group to expand both nationally and across regional markets.
AdMedika Group operates as a technology-based third-party administrator (TPA) specializing in healthcare administration services. The company has built a solid track record in delivering medical claims management and healthcare solutions for corporations and institutions throughout Indonesia. As the healthcare and insurance industries grow increasingly competitive, AdMedika’s long-term growth and acceleration are expected to benefit from the support of a strategic shareholder whose business focus aligns closely with the company’s operations.
According to TelkomMetra President Director Pramasaleh Haryo Utomo, the signing of the CSPA with Fullerton Health represents a carefully considered step toward the full divestment of AdMedika Group. He noted that the decision was taken with a strong commitment to good corporate governance, supported by comprehensive business considerations, and is consistent with TelkomGroup’s transformation strategy to strengthen its core business while creating long-term value.
Fullerton Health Expands Healthcare Presence in Indonesia
Meanwhile, Group CEO of Fullerton Health, Ho Kuen Loon, stated that the acquisition reflects the company’s commitment to expanding its presence and contribution to Indonesia’s healthcare services landscape.
He highlighted that AdMedika has been developed within TelkomGroup into a trusted and comprehensive healthcare administration platform, supported by strong governance, digital innovation, and clinical discipline. These strengths, he noted, align closely with Fullerton Health’s capabilities and values. The acquisition is viewed as an important step in expanding access to high-quality healthcare services for people in Indonesia and across the region.
Ho added that the deal will also create opportunities to further enhance service quality while addressing the evolving needs of patients, clients, and partners across the country.
Once the acquisition is completed under the CSPA terms, Fullerton Health will become the new owner of AdMedika Group. The company brings extensive regional experience and proven operational capabilities across various healthcare and health benefits markets in Asia.
The combination of both organizations is expected to create a broader growth platform by integrating AdMedika’s strong domestic market foundation with Fullerton Health’s regional expertise in managed care, healthcare provider networks, and digital health solutions.
This expanded platform is anticipated to accelerate innovation, strengthen AdMedika Group’s leadership in Indonesia’s TPA healthcare solutions sector, and open new opportunities for future expansion across the wider region.
Conclusion
The divestment of AdMedika to Fullerton Health marks a strategic shift for TelkomGroup as it sharpens its focus on telecommunications and digital services. At the same time, the acquisition provides AdMedika with a strategic partner capable of accelerating growth, strengthening healthcare administration services, and expanding digital health solutions in Indonesia and across the region.
