Mitratel Consolidates Two Subsidiaries to Strengthen Digital Infrastructure

Jakarta, INTI - PT Dayamitra Telekomunikasi Tbk (MTEL), also known as Mitratel, has officially completed the merger of two of its subsidiaries, PT Persada Sokka Tama (PST) and PT Ultra Mandiri Telekomunikasi (UMT).

The corporate action, carried out by the subsidiary of PT Telkom Indonesia Tbk, is expected to support business growth while improving operational efficiency. The integration is also seen as strengthening Mitratel’s position within Indonesia’s digital infrastructure landscape.

The merger was first announced on May 8, 2026, and became effective on July 1, 2026. The transaction received approval from regulators and shareholders through an Extraordinary General Meeting of Shareholders (EGMS) held on June 30, 2026.

According to Mitratel management, simplifying the group’s corporate structure was one of the main objectives of the merger. The move is intended to improve operational efficiency and deliver more integrated digital infrastructure services.

Previously, PST and UMT operated in areas supporting the telecommunications ecosystem and digital services. Following the consolidation, Mitratel’s business coverage will expand into various tower-related businesses, including managed Internet of Things (IoT) services and power solutions.

Mitratel said the strategic transformation is aligned with the broader development direction of the Telkom Group and Danantara Indonesia. The consolidation is designed to create a more agile, cost-efficient, and competitive corporate structure.

Consolidation Expected to Boost Profitability and Tenancy Ratio

The consolidation is expected to create opportunities for savings in both capital expenditure (capex) and operating expenditure (opex). Management is targeting synergies through higher tenancy ratios, cost efficiencies, and stronger operating leverage to support future profitability.

As the owner of Indonesia’s largest tower portfolio, Mitratel aims to gradually increase its tenancy ratio to above 1.6 times over the medium term. As of the first half of 2026, MTEL’s tenancy ratio had risen to 1.57 times, up from 1.53 times during the same period a year earlier.

Demand for telecommunications infrastructure is expected to continue increasing alongside the expansion of 5G networks and fixed wireless access (FWA) services. Mirae Asset Sekuritas analysts Daniel Widjaja and Wilbert Alfin identified FWA development and fiberization as key positive catalysts for the company’s performance.

They said FWA expansion could provide Mitratel with an opportunity to capitalize on its previous investments in tower and fiber networks.

According to the company’s first-half 2026 Information Memo, operators’ demand for towers integrated with fiber networks continues to grow as they seek to deliver higher-capacity and lower-latency services.
