Jakarta, INTI - PT Indosat Tbk. has officially completed the divestment of its fiber optic network infrastructure assets to PT Nusantara Fiber Teknologi (NFT), an investment platform under the Arsari Group.
Through this strategic corporate action, Indosat Group secured gross proceeds of approximately Rp11.7 trillion, which will be fully allocated to strengthen the company's core business capital, accelerate 5G network expansion, and develop an artificial intelligence (AI)-based digital service ecosystem.
This divestment marks the completion of a major agreement that began with the signing of an Investment Agreement in December 2025. Under the terms of the transaction, Indosat and PT Aplikanusa Lintasarta transferred their share ownership in PT Infra Fiber Teknologi (IFT) to NFT.
This downstream asset divestment is part of an efficient asset management strategy to optimize the company's value amidst intense competition in the national halo-halo industry.
Following the completion of the asset transfer, Indosat and Lintasarta did not completely lose control, as they collectively retained a 49.9% stake in NFT.
This structure enabled Indosat to successfully monetize its fiber optic assets for operational liquidity while maintaining long-term strategic influence over the management of the digital infrastructure platform.
Allocation for AI Development Investments and Strengthen Connectivity
This trillion-rupiah monetization initiative was designed to fund an aggressive long-term digital transformation roadmap. In addition to strengthening the working capital of the cellular sector, the gross proceeds from the asset disposal are allocated to fund future investments such as the adoption of cloud computing technology and next-generation services ready to support the development of the AI ecosystem in Indonesia.
President Director and CEO of Indosat Ooredoo Hutchison, Vikram Sinha, stated that the corporation's primary goal of empowering all Indonesians through the use of technology has never changed. The presence of IFT as a management platform for the transferred assets is a concrete manifestation of this commitment.
"We want to ensure that the benefits of AI, cloud, and next-generation digital services can be felt more widely by all. This is what technology means for everyone," said Vikram.
With the transfer of fiber optic assets to an independent platform, 86,000 kilometers of infrastructure, including the backbone network, domestic submarine cables, and access networks, will be centrally managed using an open-access business model.
This change in ownership and governance model is also expected to address the digital connectivity gap that still plagues regions outside Java. Currently, the transferred fiber optic network is evenly distributed, with approximately 45% located on Java and 55% spread outside Java.
Aryo P.S. Djojohadikusumo, Deputy CEO & COO of Arsari Group, explained that a nation's competitiveness can only be achieved if all levels of society have equal opportunities to develop.
